Most issuers will use a Delaware C Corp with a board of directors, a dedicated AML officer, a controller, and a compliance committee.

Key documents include articles of incorporation, board resolutions for reserve policy, a written AML program, and an incident response plan.

Regulatory Stack

Federal requirements include FinCEN MSB registration, GENIUS Act compliance, monthly reserve attestations, and annual audits.

State requirements still apply if you are not federally preempted. This may include transmitter licenses, surety bonds, and reporting obligations.
